These Terms of Purchase for Advertising (the "Terms") are effective from 14 October 2026. They govern the purchase of digital advertising placements on unfolds.city and the use of the client area for that purpose.
1. Who we are and who these Terms are for
1.1. The service is operated by Mihalič Group s.r.o., Company ID (IČO) 07187891, Tax ID (DIČ) CZ07187891, with its registered office at Žižkova 320/13, Stará Boleslav, 250 01 Brandýs nad Labem-Stará Boleslav, Czech Republic, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, Insert 296222 ("we", "us" or the "operator"). Contact: info@unfolds.city. Further business information is available at unfolds.city/legal.
1.2. The "customer" is the business on whose behalf an organization is set up in the client area and in whose name an order is placed. A "user" is any natural person who uses the client area on behalf of a customer.
1.3. The service is offered to businesses only. Before paying, the person placing the order confirms, separately from accepting these Terms, that the order is placed on behalf of a business, in the course of its trade, business or profession and not as a consumer, and that they are authorised to act for it. The confirmation is recorded with the order. A person who gives an untrue confirmation is liable to us for the damage it causes. These Terms are intended for purchases made for business or professional purposes. Nothing in these Terms excludes mandatory consumer rights where a purchaser legally qualifies as a consumer.
1.4. If we learn that an order has been placed by a consumer, we may cancel the order and refund the full price paid. If a contract is nevertheless concluded with a consumer, the mandatory provisions of the Civil Code on consumer contracts apply.
1.5. Matters not regulated by these Terms are governed by Czech law, in particular Act No. 89/2012 Coll., the Civil Code. Under Section 1751 of the Civil Code, these Terms form part of each contract concluded with us. Any individually agreed terms confirmed by us in writing prevail over these Terms.
2. The service
2.1. unfolds.city presents illustrated web cities informed by real local information such as time of day and weather. Life in the cities is simulated; it is not live tracking of people or traffic.
2.2. We offer advertising as the rental of digital placements inside these web cities (for example a billboard, poster, column, shop window or tram panel). The offer, the placements available in each city and their prices are shown in the client area. We do not sell physical outdoor advertising.
2.3. We do not guarantee any number of impressions, views, clicks, reach, traffic or business results. How a placement appears on screen depends on the visitor's device, screen size, browser, zoom level, camera position, time of day and weather in the city, and on how the visitor moves around the city. A placement may be outside the visible area for many visitors.
2.4. We may change the design of a city, add or remove content and improve the service. If a change materially affects a placement on days already purchased, Article 11.3 applies.
3. Account and organization
3.1. Purchasing requires a user account. A user registers with a name, an e-mail address and a password, must verify the e-mail address and may switch on two-factor authentication.
3.2. Orders are placed on behalf of an organization in the client area. An organization may have several users with different roles (owner, admin, member). The customer is responsible for who it invites, for the roles it assigns and for all actions taken by its users in the client area, and must ensure that its users keep their login details confidential.
3.3. Before paying, the customer must complete its billing details: billing name, street, city, postal code, country and a business identification number (Company ID) or VAT ID. A customer established in an EU member state other than the Czech Republic must also enter its VAT ID and have it confirmed as valid in the European Commission's VIES system, using the verification in the client area. The VAT ID must belong to the country stated in the billing details. A confirmation is valid for 90 days and only for the VAT ID and country that were checked. If there is no valid confirmation, or the VAT ID or country has changed since it was given, the order cannot be submitted for payment until the VAT ID is confirmed again. If VIES is temporarily unavailable, the verification can be repeated later. The customer is responsible for the accuracy of its billing details, including the country of its establishment and its VAT ID; they are used on the invoice and determine the tax note.
3.4. The customer must tell us without undue delay if it suspects unauthorised use of an account.
4. Order and conclusion of the contract
4.1. In the client area, the customer configures each placement it wants to order: the city and placement, the specific calendar days of display, the creative (image and its crop), a short label and description, and the destination link.
4.2. Days are calendar days in the time zone of the city concerned. The earliest available day depends on the minimum lead time of the placement. Each placement can be ordered for a maximum of 30 days per order item. The minimum order value and lead time are shown in the client area before ordering.
4.3. When a creative is uploaded, we only check that the file meets our technical requirements (file format, file size, dimensions, aspect ratio, no transparency and no animation). We do not check the content of creatives by automated means; every ordered creative is reviewed by a person under Article 7.
4.4. Before payment, the customer is shown a summary with each placement, the selected days, the price per placement and the total price in US dollars (USD), together with the applicable tax note. Until payment, the customer can go back and correct the configuration. To proceed, the customer must accept these Terms. The version of the Terms accepted is recorded with the order.
4.5. Payment is made on a hosted payment page operated by Stripe, by payment card, including card-based wallets such as Apple Pay or Google Pay, as a single one-off payment. There is no subscription and no automatic renewal.
4.6. Submitting the order reserves the selected days for a limited time, which is shown during checkout. If payment is not confirmed within that time, the order expires and the days are released.
4.7. The contract is concluded when we receive confirmation of payment from Stripe. We confirm the order by e-mail.
4.8. If a payment is received after the order has expired, after the order has been cancelled, or after the selected days have been sold to someone else, no contract is concluded for that payment and we refund it in full without undue delay, at the latest within 5 business days. Duplicate payments are refunded in the same way.
4.9. We may refuse an order at any time before payment if performing it would breach sanctions or export restrictions of the European Union, the United States or another jurisdiction that apply to us or to our payment provider, or the rules of our payment provider, for example because the customer, its owners or the advertised business are subject to such sanctions. For the same reasons we may cancel a paid order, but only before its first day of display, determined in the city's time zone. We then refund the full price of the cancelled order within 5 business days of the decision, unless the applicable sanctions prohibit or restrict the refund, in which case we proceed as the law requires. Once the first day of display has started, an order cannot be cancelled under this Article; if content has to be removed for these reasons, Article 9.3 applies.
5. Price, payment and invoice
5.1. Prices are stated per placement and day in US dollars. The price shown in the summary before payment is final; we do not add any further charges. Fees of the customer's bank or card issuer, including currency conversion, are borne by the customer.
5.2. As at the effective date of these Terms, we are registered for VAT in the Czech Republic as an identified person, not as a VAT payer; we therefore do not charge Czech VAT. The tax note depends on the country of establishment stated in the customer's billing details: for customers established in the Czech Republic, no VAT is charged because we are not a VAT payer; for customers established in another EU member state, the reverse-charge mechanism applies and the customer accounts for any VAT due, which is why we accept their orders only with a VAT ID confirmed in VIES under Article 3.3; for customers established outside the EU, the supply is outside the scope of EU VAT. The tax note is shown in the summary and on the invoice. The customer is responsible for its own tax obligations.
5.3. After payment is confirmed, we issue an electronic invoice, which is available in the client area. If a refund requires it, we issue a corrective document (credit note).
5.4. Payment card details are entered directly on Stripe's payment page and are processed by Stripe. We do not receive or store full card numbers or security codes.
6. Creatives and content rules
6.1. The customer is responsible for the creative, label, description and destination link it submits (together, "content"), as the advertiser.
6.2. The customer warrants that:
- it holds all rights and permissions needed to use the content, including rights to trademarks, copyright works, designs and other intellectual property;
- it has the consent of, or another legal basis in relation to, every person who is recognisable in the content, and the content does not infringe anyone's personality rights or privacy;
- the content does not reveal health data, religious or political beliefs or other special categories of personal data about identifiable people;
- the content is lawful, truthful and not misleading, and complies with Act No. 40/1995 Coll., on the Regulation of Advertising, and with all laws that apply to the customer and to its product or service;
- the destination link uses https, leads to a website that the customer is entitled to promote, and that website is lawful and does not contain malicious code.
6.3. Prohibited categories. The customer must not submit content that falls into any of the following categories, and we do not accept such content:
- violence, sexually explicit content, hate and discrimination;
- political parties, candidates, referendums, religious campaigns and activism;
- tobacco and nicotine products, alcohol, gambling, drugs and weapons.
6.4. Restricted products. We also do not accept advertising for medicinal products, medical devices, funeral services, infant formula, or any other product or service whose advertising is prohibited or restricted by Act No. 40/1995 Coll. or other Czech law, unless the customer demonstrates compliance with the applicable rules at our request. Such content is handled under Article 9.3, not as a prohibited category.
6.5. The customer remains responsible for the website at the destination link, including any changes made to it after ordering.
6.6. The customer grants us a non-exclusive, worldwide, royalty-free licence to store, reproduce, display, scale and crop the content and to create lower-resolution and tiled variants of the image, to the extent needed to review it, display it in the city on the purchased days and handle the order. The licence also covers keeping the label, description and destination link with the order records, and keeping a copy of a rejected or removed creative as evidence for the period stated in our Privacy Policy. The licence ends when these purposes cease.
6.7. The customer will indemnify us against claims of third parties, and the reasonable costs of dealing with them, arising from content that breaches Article 6.2, 6.3 or 6.4. We will inform the customer of any such claim without undue delay and allow it to take part in the defence. This obligation does not apply to the extent the claim was caused by our own breach, such as a change of the content made by us.
6.8. The customer's responsibility does not exclude our own obligations as a disseminator of advertising under Act No. 40/1995 Coll. If the customer orders advertising for another advertiser, or the advertisement was created by someone else, the customer must tell us who they are at our request. We disclose who the advertiser and the creator of an advertisement are to supervisory authorities on request and to persons who demonstrate a legitimate interest, as the law requires. The customer, as the advertiser, keeps its own copy of the advertisement as required by that Act.
7. Review of creatives
7.1. We do not use automated means to check the content of creatives. The technical check at upload (Article 4.3) does not assess content and does not confirm that the content complies with these Terms.
7.2. Every ordered creative is reviewed by a person before it is first displayed. Nothing is displayed without this approval. We aim to complete the review within 2 business days of payment and before the first day of display.
7.3. The reviewer either approves the creative or rejects it. Our approval is based on the information available at the time of review; it does not confirm that the content complies with Articles 6.2 to 6.4 and does not limit our rights under Articles 9 and 13. If the creative falls into a prohibited category under Article 6.3, the order item is cancelled and the days are released, and we refund the price of the order item (less any days already refunded under Article 7.4) reduced by a fee of 20 % of the item price, at least USD 20 and never more than the refundable price of the purchased days after the day of the decision. If no purchased day follows the day of the decision, no fee applies. The price of the day of the decision, if it is a purchased day, is refunded in full without the fee. The fee is agreed as a contractual penalty for breach of Article 6.3 only; no fee applies solely because of a breach of Article 6.2 or 6.4. By way of derogation from Section 2050 of the Civil Code, we remain entitled to compensation for damage exceeding the penalty. If the creative is rejected for another reason (for example a restricted product under Article 6.4, infringement of third-party rights, misleading content or a technical defect), the order item is cancelled, the days are released and we refund the price of the order item without any fee; our right to compensation for damage caused by the customer's breach is not affected. We make refunds under this Article within 5 business days of the decision. We inform the customer of the decision by a statement of reasons under Article 10.4.
7.4. A creative is not displayed until it is approved. If a creative has not been approved and made available for display by 04:00 (city time) on a purchased day, that day counts as non-delivery attributable to us and we refund its price in full under Article 11.3, regardless of when the order was paid. Days refunded in this way are not counted again if the creative is later rejected.
8. Delivery
8.1. An approved creative is displayed on the purchased placement on the purchased days, determined in the city's time zone.
8.2. Display may be interrupted, for example during maintenance, updates or outages of our providers. Interruptions that do not exceed 4 hours in total in a calendar day (city time) do not constitute non-delivery. If interruptions on a day exceed 4 hours in total, the whole day counts as not delivered and we refund its price under Article 11.3. Waiting for approval of a creative is governed solely by Article 7.4: time before approval on a day that counts as delivered under Article 7.4 is not an interruption and is not counted towards the 4-hour limit. Each purchased day is refunded only once.
8.3. Once ordered, a campaign cannot be paused, and the creative, days or destination link cannot be changed. To make a change, the customer may cancel the order before the first day of display (Article 12) and place a new order.
9. Removal of content after the campaign starts
9.1. We may remove content at any time, including during a running campaign, if it is unlawful, if it breaches these Terms, or if a public authority or court requires it. We inform the customer by a statement of reasons under Article 10.4.
9.2. If content is removed because it falls into a prohibited category under Article 6.3, as confirmed by a person, we refund the price of the day of removal in full if it is a purchased day, regardless of how long the content was displayed that day, and the price of the purchased days after it reduced by a fee of 20 % of the item price, at least USD 20 and never more than the refundable price of those later days. If no purchased day follows the day of removal, no fee applies. The fee is agreed as a contractual penalty for breach of Article 6.3 only; no fee applies solely because of a breach of Article 6.2 or 6.4. By way of derogation from Section 2050 of the Civil Code, we remain entitled to compensation for damage exceeding the penalty. No fee applies where the removal results solely from our correction of an earlier approval of unchanged content based on information that was already available to us at the time of approval, unless the customer concealed or misrepresented relevant facts. We make the refund within 5 business days of the decision.
9.3. If content is removed for any other reason (for example infringement of third-party rights, misleading content, a restricted product under Article 6.4, a technical defect of the creative, or a request from an authority), or because of our error, we refund the price of the day of removal in full if it is a purchased day, regardless of how long the content was displayed that day, and the price of all purchased days after it, without any fee. Our right to compensation for damage caused by the customer's breach is not affected.
10. Content moderation and notices
10.1. This Article describes how we moderate content under Regulation (EU) 2022/2065 (Digital Services Act). Our moderation consists of the review of every ordered creative by a person before it is displayed (Article 7) and the removal of content described in Article 9. We do not use automated means to detect content or to check creatives. We may use AI-based tools to help process notices and requests (for example to sort them, summarise them and prepare a draft assessment and reply). Every decision is taken by a person: every ordered creative is approved or rejected by a person before display, and decisions on notices and on the removal of displayed content are also taken by a person.
10.2. Our single point of contact for authorities, users and anyone else under the Digital Services Act is info@unfolds.city. We communicate in Czech and English. Messages to this address are handled with the help of AI-based tools. You can always ask for your message to be handled by a person, and decisions are always taken by a person.
10.3. Anyone may notify us of content on unfolds.city they consider illegal by e-mail to info@unfolds.city. The notice should contain an explanation of why the content is considered illegal, where it is shown (city and placement, ideally with a screenshot), the name and e-mail address of the person giving notice (except for notices concerning certain child sexual abuse offences), and a statement that the information given is accurate and complete to the best of their knowledge. We confirm receipt, decide on the notice in a timely, diligent and objective manner, and inform the notifier of the decision and the available means of redress.
10.4. When we reject or remove content, or suspend an account or organization, we send the customer a statement of reasons stating: what was restricted and for how long; the facts and circumstances relied on, including whether the decision followed a notice; whether automated means were used to detect the content or to decide; the contractual ground (with reference to these Terms) or, if the content is considered illegal, the legal ground; and the means of redress available.
10.5. The customer may ask for a decision to be reconsidered by writing to info@unfolds.city; the request is handled by a person. This does not affect the right to bring the matter before a court. We are not required to operate an internal complaint-handling system or to take part in out-of-court dispute settlement under Articles 20 and 21 of the Digital Services Act (Article 19). We nevertheless handle requests for reconsideration as described here.
11. Defects, complaints and non-delivery
11.1. A complaint should be sent to info@unfolds.city with the order number and a description of the problem. The customer should notify us without undue delay after it discovers a defect, and in any case so that we can still verify it. We will never ask for payment card details.
11.2. We respond to complaints without undue delay.
11.3. If, for reasons attributable to us, we fail to display a creative on purchased days, or display it in a materially different position, size or visibility than shown in the client area at the time of ordering, the customer is entitled to a refund of the price of the days affected or, if the customer agrees, to substitute days on the same or a comparable placement.
11.4. Refunds under Article 11.3 do not replace other remedies available to the customer under the law, subject to Article 13.
11.5. Where a refund requires it, we issue a credit note to the original invoice.
12. Cancellation and refunds
12.1. An unpaid order can be cancelled at any time in the client area.
12.2. A paid order can be cancelled in the client area before the first day of display, determined in the city's time zone. On cancellation we automatically submit a refund of the full price of the cancelled order to Stripe for return to the card used for the order; if automatic submission fails, we submit it manually within 5 business days of the cancellation. The card issuer usually credits the refund within 5 to 10 business days; we have no control over that time.
12.3. Once the first day of display has started, the customer can no longer cancel the order for convenience. This does not restrict the customer's statutory rights arising from our breach, including termination of the contract where the law allows it, and does not limit any mandatory right of withdrawal.
12.4. Refunds are made to the payment card used for the order. If a refund to that card is not possible, we agree another method of refund with the customer.
13. Liability
13.1. Each party is liable for damage caused by breach of its obligations in accordance with the law and these Terms.
13.2. Our total liability for damage arising from or in connection with an order is limited to the price paid for that order. Refunds under Articles 4.8, 4.9, 7, 8.2, 9, 11 and 12 are not damages and do not count towards this limit.
13.3. Within the limit under Article 13.2, our liability includes lost profit.
13.4. The limitation in Article 13.2 does not apply to damage caused intentionally or through gross negligence, to harm to the natural rights of a person, to damage suffered by a party that is the weaker party where Section 2898 of the Civil Code prohibits such a limitation, or to any other liability that cannot be limited by law.
13.5. Neither party is liable for damage caused by an extraordinary, unforeseeable and insurmountable obstacle that arose independently of its will within the meaning of Section 2913(2) of the Civil Code, such as a natural disaster, war, an act of a public authority, or a failure of the internet backbone or of public electronic communications networks affecting a substantial part of users. Outages of the providers we use to deliver the service are not such an obstacle. An obstacle that arose only after the party was in delay, or that the party was obliged to overcome, does not release it from liability. Days not delivered because of such an obstacle are refunded as under Article 11.3.
14. Personal data
14.1. We process personal data as described in our Privacy Policy.
14.2. We do not process personal data on behalf of customers. Customers receive no personal data about visitors to the cities.
14.3. If content contains personal data of any person, the customer is responsible for having a legal basis for its use in advertising (Article 6.2).
15. Changes to these Terms
15.1. Each order is governed by the version of the Terms accepted when it was placed. A new version applies only to orders placed after it takes effect.
15.2. We may change the provisions of these Terms that govern the ongoing relationship outside individual orders, namely the account, organization and client area, personal data, suspension and closure, and the means of communication (Articles 3, 14 and 16 and Article 17.3). We may do so only to the extent necessary and reasonable, for reasonable cause, in particular a change in the law or a decision of an authority, a change of the service or of our providers, security, or the prevention of abuse. Changes cannot affect the price, days or other terms of orders already placed.
15.3. We will notify customers of a change under Article 15.2 by e-mail at least 1 month before it takes effect. A customer that does not agree may reject the change by e-mail to info@unfolds.city before it takes effect and thereby terminate the ongoing account relationship free of charge. Open orders do not prevent rejection: they remain governed by the version accepted when they were placed, and the client area remains available under the previous terms until they are completed. The customer can then delete the organization. If the customer does not reject the change, it applies from its effective date.
16. Closing and suspending an account
16.1. A user may delete their account in the client area, and the owner of an organization may delete the organization, unless there are open orders that must be finished or cancelled first. After deletion we keep the data described in our Privacy Policy, in particular orders, invoices and refunds as accounting records.
16.2. We may suspend an organization or a user account if the customer or its users seriously breach these Terms, after notifying the customer and giving it reasonable time to remedy the breach. We may suspend access without prior notice where this is urgent, in particular in case of unlawful content, a security threat or suspected fraud; we send a statement of reasons under Article 10.4.
16.3. During suspension, paid campaigns continue to be displayed unless their content is the reason for the suspension. While the client area is not accessible, the customer may request cancellation under Article 12.2 by e-mail to info@unfolds.city.
16.4. Suspension does not affect the customer's right to a refund under these Terms.
17. Final provisions
17.1. These Terms and all contracts concluded under them are governed by Czech law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
17.2. All disputes arising from these Terms or any contract concluded under them will be decided exclusively by the courts of the Czech Republic; local jurisdiction is determined by our registered office at the date the contract is concluded (Section 89a of the Code of Civil Procedure; Article 25 of Regulation (EU) No 1215/2012), subject to mandatory rules on jurisdiction.
17.3. Contracts are concluded in English. Communication takes place electronically, by e-mail and through the client area.
17.4. If any provision of these Terms is or becomes invalid or ineffective, the remaining provisions are not affected. The invalid provision will be replaced by a valid provision that comes as close as possible to its purpose.
17.5. We keep a record of the version of the Terms accepted and the time of acceptance with each order. Each version of these Terms is published at a stable address and can be saved or printed before payment; earlier versions are also available on request at info@unfolds.city.
